Terms of Service

1. Acceptance of Terms

By creating an account or using Supply Pilot AI, you agree to be bound by these Terms of Service. You must be at least 18 years old (or the legal age in your jurisdiction) to use this service. If you are using Supply Pilot AI on behalf of a business or other entity, you represent that you have the authority to bind that entity to these terms.

2. Account Terms

• You are responsible for maintaining the security of your account, including your password and access credentials.
• Accounts are for individual use and are non-transferable.
• You must provide accurate and complete information when creating your account.
• We reserve the right to suspend or terminate accounts that violate these terms.

3. Subscription & Billing

• Supply Pilot AI offers three plans: Free ($0/month), Pro ($19/month), and Business ($49/month).
• Paid plans are billed monthly through Stripe. You may cancel at any time.
• Cancellation takes effect at the end of your current billing period. No prorated refunds are issued for partial months.
• We reserve the right to change pricing with at least 30 days' notice.
• The Free plan includes feature limits such as one ordering recommendation per week and a 90-day data history window.

4. Acceptable Use

When using Supply Pilot AI, you agree not to:

• Reverse-engineer, decompile, or disassemble any part of the platform.
• Use the service for any illegal purpose or in violation of any applicable laws.
• Upload malicious files, viruses, or harmful content.
• Attempt to access other users' data or accounts.
• Resell, redistribute, or sublicense access to the service.

You are solely responsible for the legality, accuracy, and completeness of the data you upload.

5. Intellectual Property

• Our property:Supply Pilot AI's platform, algorithms, user interface, branding, and documentation are the intellectual property of Shannon Analytics LLC and remain our exclusive property.
• Your data: You retain full ownership of all data you upload, including CSV files, product information, and sales history.
• Generated outputs: Forecasts, ordering recommendations, and analyses generated from your data are yours to use freely.
• License to us: By using the service, you grant us a limited license to process your data in order to provide the service and to use anonymized, aggregated data to improve our forecasting algorithms.

6. Forecast & Recommendation Disclaimer

This is important — please read carefully.

• All forecasts, ordering recommendations, and inventory analyses provided by Supply Pilot AI are for informational purposes only.
• Supply Pilot AI does not provide financial advice, investment advice, or professional business consulting.
• We make no guarantees regarding the accuracy of any forecast. Accuracy metrics displayed in the app (such as MAPE or average accuracy) are based on historical performance and are not promises of future results.
• You are solely responsible for all business decisions made based on our outputs, including ordering, stocking, and purchasing decisions.
• We are not liable for any losses arising from stockouts, overordering, spoilage, or any other business outcome influenced by our recommendations.

7. AI Features Disclaimer

• The AI chat feature (available on the Business tier) uses external AI providers to generate responses. These responses are AI-generated and are not reviewed or verified by experts.
• AI outputs may be inaccurate, incomplete, or misleading. Always use your own judgment when acting on AI-generated advice.
• Queries sent to AI providers in connection with this feature are not used to train their models.

8. Limitation of Liability

• Supply Pilot AI is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
• To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the service.
• Our total liability to you for any claim arising from or related to these terms or your use of the service is limited to the total amount you have paid us in the 12 months preceding the claim.
• We are not responsible for losses caused by service downtime, data loss, or failures of third-party services we rely on.

9. Termination

• You may delete your account at any time from your account settings.
• We may terminate or suspend your access if you violate these terms. We will provide notice except in cases of egregious violations, where immediate suspension may be necessary.
• Upon termination, your data will be handled according to our Privacy Policy — personal information is deleted immediately, and business data is retained for 30 days before permanent deletion.

10. Dispute Resolution

• These terms are governed by and construed in accordance with the laws of the State of Illinois.
• Any disputes arising from these terms or your use of the service will first be addressed through good-faith negotiation. If negotiation does not resolve the dispute, it will be settled through binding arbitration.
• You agree to resolve disputes with us on an individual basis. Class action lawsuits and class-wide arbitration are not permitted.

11. Changes to These Terms

We may update these Terms of Service from time to time. If we make material changes (including changes to pricing, liability terms, or data handling), we will notify you by email at least 30 days in advance. Your continued use of Supply Pilot AI after receiving notice constitutes acceptance of the updated terms.
